Terms of Service
Last updated:
These Terms of Service (the "Terms") govern access to and use of the website gruperly.com and the Gruperly web application (together, the "Service"). By creating an account or using the Service, the User agrees to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Definitions
- "Gruperly", "we", "us": the provider of the Service.
- "User": the person who creates an account and uses the Service to manage their groups, classes and events.
- "Participant": each person the User registers in the Service.
- "User Content": all information the User enters into the Service, including their Participants' data.
2. The Service
Gruperly is a software tool that helps professionals who work with groups organize recurring activities and special events, manage participants, capacity and attendance, and track payments. Gruperly does not provide the services the User offers to their Participants and is not a party to the relationship between them.
3. Account
- To use the Service you must create an account and be at least 18 years old or otherwise legally able to enter into contracts.
- The User must provide accurate information and keep it up to date.
- The User is responsible for keeping their password confidential and for all activity under their account, and must notify us immediately of any suspected unauthorized access.
- Accounts are personal. If the User uses the Service on behalf of an organization, they represent that they are authorized to bind it to these Terms.
4. Plans, pricing and payment
- Free plan: the Starter plan is free and subject to the usage limits shown on the pricing page.
- Paid plans: billed monthly in advance and renewed automatically at the end of each period unless the User cancels beforehand.
- Currency and taxes: prices are shown in Argentine pesos (ARS) for Argentina and in US dollars (USD) for other countries, and may be subject to applicable taxes.
- Price changes: we will give at least 30 days' notice. The new price applies from the next billing period.
- Cancellation: the User can cancel their plan at any time. Cancellation takes effect at the end of the period already paid and does not entitle the User to a refund for partial periods, without prejudice to any rights granted by applicable consumer protection law.
- Non-payment: if a payment cannot be processed, we may move the account to the free plan or suspend paid features until the payment is resolved.
5. Payments from Participants
The Service lets the User record prices, due dates and payment status for their Participants and, where available, connect an account with a third-party payment provider. Gruperly is not a financial institution, does not receive or hold Participants' funds and is not responsible for the operation of those providers, which are governed by their own terms. The User is solely responsible for the prices they set, the invoices and taxes for their services, refunds and any claims from their Participants.
6. User Content and Participant data
- The User retains ownership of their Content and grants us a limited, non-exclusive, royalty-free license to store, process and display it only as needed to provide the Service.
- The User represents that they have the necessary authorizations to enter their Participants' data and that they comply with applicable data protection law, as described in the Privacy Policy.
- The User can export or delete their Content while their account is active.
7. Acceptable use
The User agrees not to:
- Use the Service for unlawful or fraudulent purposes or in a way that violates the rights of others.
- Upload content that is illegal, offensive, defamatory or that infringes intellectual property rights.
- Send unsolicited bulk messages (spam) through the Service.
- Attempt to gain unauthorized access to other accounts or to Gruperly's systems, or interfere with their operation.
- Copy, decompile, reverse engineer or resell the Service, or use it to build a competing product.
- Use automated means to extract data from the Service without our permission.
8. Intellectual property
The Service, including its software, design, trademarks, logos and our own content, belongs to Gruperly or its licensors and is protected by intellectual property laws. These Terms grant the User no rights to them other than the limited right to use the Service in accordance with these Terms. If the User sends us suggestions or feedback, we may use them freely to improve the Service.
9. Availability and changes to the Service
We work to keep the Service available at all times, but there may be interruptions for maintenance, updates or reasons beyond our control. We may add, change or discontinue features; if a change significantly affects a paid plan, we will give reasonable advance notice.
10. Suspension and termination
- The User may stop using the Service and delete their account at any time.
- We may suspend or terminate an account if the User breaches these Terms, if required by law, or if their use puts the Service or others at risk. Except in serious or urgent cases, we will give prior notice.
- After termination, the User will have a reasonable period to export their Content, after which it will be deleted as described in the Privacy Policy.
11. Disclaimer of warranties
To the extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose or uninterrupted or error-free operation. The User is responsible for verifying the information they manage with the Service.
12. Limitation of liability
To the extent permitted by law, Gruperly will not be liable for any indirect, incidental, special or consequential damages, or for lost profits, data or business opportunities arising from the use of or inability to use the Service. Gruperly's total liability to the User is limited to the amount the User paid for the Service in the 12 months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be excluded under applicable law.
13. Indemnification
The User agrees to indemnify Gruperly against third-party claims, including from their Participants, arising from their Content, the services they provide, or their breach of these Terms or the law.
14. Changes to these Terms
We may change these Terms. We will post the new version on this page with its update date and, if the changes are significant, notify Users at least 15 days in advance. Continued use of the Service after the changes take effect means acceptance of the new Terms.
15. Governing law and jurisdiction
These Terms are governed by the laws of the Argentine Republic. Any dispute will be submitted to the competent ordinary courts of the Argentine Republic, without prejudice to any right consumer protection law gives the User to bring proceedings in their own place of residence.
16. General
If any provision of these Terms is held invalid, the remaining provisions will remain in effect. Gruperly's failure to enforce a right is not a waiver of it. These Terms, together with the Privacy Policy, are the entire agreement between the User and Gruperly regarding the Service.
